15 October Legal Counsel Department: Legal & Compliance Employment Type: Full-Time Duty Station: Tbilisi, Georgia Working Hours: 40 working hours/week (Monday-Friday) Other terms: 6 months` probation period, subject to compensation Company Description: We are a digital-first Asset Management firm focused on connecting frontier markets with global opportunities. The firm is developing a platform for actively managed, institutional-grade multi-asset portfolios and is regulated by the National Bank of Georgia. Position Overview: We are seeking a Legal Counsel to support the firm`s legal operations, regulatory compliance, and corporate governance across its managed funds and business activities. Working closely with senior management, the Legal Counsel will ensure the firm`s activities remain fully aligned with Georgian law and NBG regulatory requirements, support fund documentation, and provide day-to-day legal guidance across the business. Key Responsibilities: Key Responsibilities include, but are not limited to the following: Regulatory & NBG Compliance: ** Monitor and ensure compliance with NBG regulations applicable to asset management companies and investment funds ** Track regulatory developments and support timely adoption of new requirements ** Prepare and review submissions, notifications, and reports to the National Bank of Georgia ** Liaise with the NBG on regulatory matters, licensing, and supervisory reviews Fund & Corporate Legal Support: ** Draft, review, and maintain fund documentation including fund prospectuses, investment management agreements, and fund rules ** Support the preparation and update of internal policies and procedures in line with regulatory requirements ** Advise on corporate governance matters and support board and investment committee processes ** Review and negotiate commercial agreements with counterparties, service providers, and custodians Contracts & Transactions: ** Draft and review contracts, NDAs, service agreements, and other legal documents ** Identify legal risks in transactions and business operations and recommend mitigation measures ** Support due diligence processes for investments and business partnerships Legal Research & Advisory: ** Provide day-to-day legal advice to management and business units on Georgian law matters ** Research Georgian and relevant international legal and regulatory developments ** Support the preparation of legal opinions and memoranda ** Required Qualifications and Skills ** 2-3 years of legal experience, with a focus on financial services, banking, capital markets, or regulatory law ** Solid understanding of the NBG regulatory framework for asset management companies and investment funds — essential ** Experience working with or advising entities regulated by the National Bank of Georgia ** Strong knowledge of Georgian corporate and contract law ** Familiarity with fund structures, securities law, and financial regulation is a significant advantage ** Fluency in Georgian and English (C1/C2) — both written and verbal ** Attention to detail, integrity, and the ability to work independently ** Strong drafting and analytical skills What We Offer: ** Supportive, collaborative, and fair working environment ** Exposure to a growing, institutional-quality asset manager with a dynamic and international focus ** Opportunity to work at the intersection of legal practice and capital markets ** Compensation is based on experience and qualifications
