## Job description

Role Purpose: The Senior Legal Counsel will be responsible for managing legal work relating to Eagle Hills Georgia's projects. The role will involve complex real estate matters, contract drafting and negotiations, and day-to-day legal support. The Senior Legal Counsel will report to the General Manager and Global Legal and will work directly with executive management. Responsibilities: Providing proactive, clear and strategic legal advice to management on issues related to major mixed-use real estate development transactions in Georgia. Dealing with complex, significant matters that cut across legal and related areas of the company's projects. Drafting, reviewing and negotiating relevant real estate development agreements, including unit SPAs, shareholders' agreements, development services agreements, facility management agreements, FIDIC construction and consultancy contracts, and other project-related agreements. Preparing executive summaries of key agreements and updating them through the course of negotiations. Providing day-to-day legal advice and assistance to all departments on a broad range of operational matters, including commercial, regulatory, corporate and financial matters. Liaising with government authorities, regulatory bodies, external lawyers, consultants and business partners. Advising on land title, cadastral and property registration, usufruct, easements, planning, permitting, SEA and EIA processes, environmental matters and other approvals required for the projects. Advising on contractual notices, variations, extensions of time, claims, guarantees and bonds, termination, settlement and other contract-administration matters. Managing litigation and disputes from their early stages, including coordinating strategy, settlements and external counsel, subject to the applicable approvals. Acting as Board Secretary when required and preparing agendas, minutes and resolutions. Advising on corporate governance matters, including the shareholders' agreement, state-shareholder arrangements, reserved matters, powers of attorney and the delegation of authority. Selecting, instructing and managing external counsel and specialist advisers in accordance with approved budgets and authority levels. Advising on applicable compliance matters and Group policies, and escalating material legal or compliance issues to the General Manager and Global Legal. Qualifications: Bachelor's degree in law (LLB or equivalent), with qualification in Georgian law. An LLM or other relevant postgraduate qualification is an advantage. Full professional fluency in Georgian and English. At least 8 years of relevant legal experience gained in a leading Georgian or international law firm, major real estate developer, construction or infrastructure company, and/or multinational organization. Preferred Experience: Proven experience in major mixed-use real estate, construction or infrastructure developments in Georgia. Strong knowledge of Georgian land, planning, permitting, environmental and administrative law, together with experience working with public authorities and regulatory bodies. Experience with FIDIC and other complex construction and consultancy contracts, including claims and contract administration. Experience with shareholders' agreements, joint ventures and corporate governance matters. Experience with state shareholding or government-linked projects is an advantage. Experience managing disputes and working with outside counsel. COMPETENCIES Detail-oriented, organized and disciplined. Developed drafting, negotiation and cross-cultural stakeholder-management skills. Ability to establish priorities and work independently. Ability to perform effectively under pressure and tight deadlines. Highly effective oral and written communication skills. Team player who collaborates effectively with other business units. High degree of professional ethics and integrity. Reporting Relationship: The role reports to the General Manager for day-to-day management and operational priorities. The role reports functionally to Global Legal for legal standards, Group policies, templates, reserved matters and material legal or compliance escalations.
