Senior Legal Counsel Location: Tbilisi, Georgia Employment Type: Full-Time About CityPay.io CityPay.io is a rapidly growing fintech and crypto payments company operating across multiple international markets. As we continue expanding globally, we are looking for an experienced Senior Legal Counsel to provide strategic legal leadership across corporate, commercial, employment, regulatory, and licensing matters. This role serves as a trusted legal advisor to senior leadership, ensuring the company operates within applicable legal and regulatory frameworks while enabling sustainable business growth and international expansion. Job Summary The Senior Legal Counsel will lead legal support across the business, advising executive management on complex legal matters, mitigating legal risk, and supporting strategic initiatives in regulated markets. The role is responsible for corporate legal governance, commercial contracting, employment law, regulatory affairs, licensing projects, data privacy, and cross-border legal operations. Working closely with Compliance, Risk, Product, Finance, HR, and Operations teams, the Senior Legal Counsel will help drive legally sound business decisions while supporting CityPay.io's expansion into new jurisdictions. Key Responsibilities: Strategic Legal Advisory Serve as a trusted legal advisor to executive leadership on strategic, operational, and commercial matters. Identify, assess, and mitigate legal and regulatory risks across the organization. Provide practical, business-oriented legal guidance that supports commercial objectives while maintaining regulatory compliance. Lead legal support for strategic initiatives, new products, partnerships, and international expansion projects. Corporate & Commercial Legal Draft, negotiate, review, and manage a broad range of commercial agreements, including customer, supplier, technology, partnership, confidentiality, and service agreements. Oversee corporate governance matters and ensure legal documentation is maintained in accordance with applicable laws. Support mergers, investments, strategic partnerships, and other corporate transactions when required. Coordinate and manage relationships with external legal counsel across multiple jurisdictions. Licensing & Regulatory Affairs Lead legal support for licensing applications, regulatory approvals, and expansion into new jurisdictions. Advise the business on licensing strategies and regulatory requirements within the fintech, payments, and digital assets sectors. Monitor legal and regulatory developments across existing and target markets and assess their business impact. Build and maintain effective relationships with regulators, licensing authorities, and government institutions. Coordinate regulatory submissions, responses to supervisory authorities, and ongoing licensing obligations. Partner with Compliance and business teams to implement regulatory requirements and support operational readiness in new markets. Employment Law & HR Legal Support Oversee the preparation, review, and update of employment agreements and HR-related legal documentation. Provide legal guidance throughout the employee lifecycle, including onboarding, contractual amendments, disciplinary matters, and employment terminations. Review and approve internal HR policies, ensuring compliance with applicable labor legislation. Advise HR and management on employment law matters across multiple jurisdictions. Compliance, Privacy & Governance Monitor changes in local and international legislation affecting the business. Support the development and enhancement of internal legal and compliance frameworks, policies, and governance procedures. Ensure compliance with GDPR and other applicable privacy and data protection regulations. Provide legal support during regulatory inspections, audits, investigations, and reporting processes. Promote legal awareness by delivering internal guidance and training to business stakeholders. Requirements: Bachelor's degree in Law (LL.M. or equivalent postgraduate qualification is an advantage). Minimum 6–8 years of legal experience, including significant in-house or top-tier law firm experience. Strong expertise in corporate, commercial, employment, and regulatory law. Previous experience supporting fintech, payments, financial institutions, cryptocurrency, or other highly regulated industries is strongly preferred. Demonstrated experience with licensing and regulatory matters across multiple jurisdictions. Strong understanding of corporate governance, contract negotiations, and legal risk management. Knowledge of GDPR and international data privacy frameworks. Excellent drafting, negotiation, analytical, and problem-solving skills. Ability to manage multiple complex matters in a fast-paced international environment. Strong stakeholder management skills with the ability to influence decision-making at executive level.
